ARTICLE I. IDENTITY AND PURPOSE

SECTION 1. IDENTITY
The International Council of Institutes for Liquid Atomization and Spray Systems (hereafter Council) is a central body to which the three regional Institutes for Liquid Atomization and Spray Systems (hereafter ILASS) belong.

SECTION 2. PURPOSE
The purpose of the Council is to facilitate interaction between the regional ILASS organizations. Unless otherwise determined by resolution of its members, the functions of the Council shall be limited to the following:
(1) to coordinate the activities of the regional ILASS in the international sphere,
(2) to determine the location and timing of the International Conference on Liquid Atomization and Spray Systems (ICLASS),
(3) to oversee the publication of a journal for the field of atomization and sprays which shall be authorized to represent all the member ILASS organizations,
(4) to assist in the creation of new national ILASS organizations and promote affiliation with the regional ILASS.

ARTICLE II. MEMBERSHIP

The Council membership shall consist of representatives from each of the regional ILASS organizations -- ILASS-Americas, ILASS‐Asia, and ILASS‐Europe. Each regional ILASS may appoint three (3) Representatives and one (1) Alternate to the Council. Only the Representatives will be allowed to vote.

ARTICLE III. OFFICERS

SECTION 1. OFFICERS
The officers of the Council shall be a President and a Vice President/Secretary. The officers shall serve until the next meeting. New officers begin their terms upon adjournment of the meeting at which they were elected.

SECTION 2. ELECTION
The officers of the Council shall be elected from among the Representatives present at each Regular Meeting. Nominations can be made by any Representative, and serving officers may offer themselves for re‐election. In making nominations, consideration should be given to maintaining the tradition of having the Presidency rotate between the various ILASS. Election will be by simple majority of those casting votes.
In the event of the resignation of the President, the Vice President/Secretary will assume the office of President and the Vice President/Secretary office will be filled by an appointment of the President. In the event of the resignation of the Vice President/Secretary, that office will by an appointment of the President. In the event of the resignation of both officers, a special election will be held, either at an Extraordinary Meeting or by fax/mail. The presiding officer of the ILASS organization that will host the next ICLASS meeting will be charged with administering such a special election.

SECTION 3. DUTIES OF THE PRESIDENT
The President shall preside at all meetings of the Council and will prepare the meeting agenda. The President is not permitted to be a Representative and as such does not vote on issues before the Council. An exception is in the event of a tied vote of the Representatives where the President will cast the deciding vote. The President shall select the date and location of the next Council meeting.

SECTION 4. DUTIES OF THE VICE PRESIDENT/SECRETARY
The Vice President/Secretary shall preside at meetings in the absence of the President and shall keep the minutes of all meetings. He/she shall disperse copies of the minutes to all Representatives and notify them of the date and location of future meetings. The Vice President/Secretary shall not vote unless he/she is also a Representative to the Council. In the event that the Vice President/Secretary were to preside at a meeting of the Council, he/she could not vote except in the case of a tie.

ARTICLE IV. MEETINGS

The Council shall hold Regular Meetings in conjunction with and at the site of the ICLASS conferences. Extraordinary Meetings can be convened at any time by the President after consultation with the Representatives. Attendance by four (4) Representatives will constitute a quorum provided that there is at least one Representative from each of the three (3) ILASS regions.

ARTICLE V. PARLIAMENTARY AUTHORITY

The rules contained in the Modern Edition of Robert's Rules of Order shall govern the Society in all cases where they are not inconsistent with these bylaws and any special rules of order that may be adopted.

ARTICLE VI. RECORDS

Copies of the minutes of all Council meetings are to be retained by the Vice President/Secretary as they constitute both the history and policy of the Council. These must be made available to the Representatives and member ILASS upon request, and transferred to the successor Vice President/Secretary upon completion of the term of office.

ARTICLE VII. AMENDMENTS

The Council may choose to amend, alter, or repeal these bylaws by an affirmative vote of two‐thirds (2/3) of the Council Representatives.
